Smart Buy Terms of Service

Business service only. Smart Buy is supplied only to customers acting for purposes connected with their trade, business or profession. It is not offered for personal or household use.

1. Agreement and authority

These Terms form the agreement between LBM Developments Limited (“LBM”, “we”, “us”) and the subscribing business (“Customer”, “you”) for Smart Buy by BrakerBase. A person creating an account or ordering a plan confirms they are authorised to bind that business. The Privacy Notice, Cancellation & Refund Policy and, where applicable, Data Processing Agreement form part of this agreement.

2. Service

Smart Buy combines vehicle identity and history information, valuation data, market evidence, user inputs and calculation models to support vehicle-purchasing decisions. Dealer accounts receive vehicle-history and whole-vehicle valuation features. Breaker / Dealer accounts may also receive parts-market evidence, financial modelling, decision bands and BrakerBase handoff. Features and data sources may change where reasonably necessary to maintain or improve the service.

3. Decision-support limitation

Smart Buy is not a vehicle inspection, title guarantee, finance check, professional valuation or promise of resale value, profit or parts demand. Results may be incomplete, delayed or inaccurate because they depend on third-party data, market conditions and your inputs. You remain responsible for inspecting the vehicle, confirming identity, title, condition, history, finance and legal status, and deciding whether and how much to bid or pay.

4. Trial

The standard trial lasts seven days and permits two successful checks in total. No payment card is required and it does not convert automatically into a paid plan. We may prevent repeat or abusive trials.

5. Plans, checks and prices

  • Each paid plan is for one vehicle category and includes the checks shown at checkout for each monthly billing period.
  • All displayed prices are inclusive. The amount shown at checkout is the amount charged by Smart Buy.
  • Unused included monthly checks expire at the period end and do not roll over.
  • A check is used only when Smart Buy returns a successful decision. An identified failed provider lookup is released.
  • “Recheck Live Data” makes a fresh provider run and uses another check when successful.
  • Extra checks may be bought while the relevant plan is active, are used after the included allowance, and expire 12 months after purchase. An unused extra check remains until expiry after plan cancellation.

6. Renewal, payment and cancellation

Paid plans renew automatically each month through Stripe until cancelled. You may cancel renewal at any time through Manage billing. Cancellation normally takes effect at the end of the current paid period and access continues until then. Each category subscription is managed separately. Full rules are in the Cancellation & Refund Policy. We may restrict paid features after failed payment. We may change prices on at least 30 days’ notice, applying no earlier than the first renewal after that notice.

7. Accounts and acceptable use

You must provide accurate information, protect credentials and restrict access to authorised staff. You must not share access outside your business, resell results as a data service, scrape data, evade plan limits, reverse engineer, test security without permission, upload unlawful or malicious material, infringe rights or use Smart Buy unlawfully. We may rate-limit or suspend access to protect Smart Buy, providers or users.

8. Third-party services

Smart Buy relies on payment, hosting, vehicle-data, valuation and marketplace providers. Their services may be unavailable, delayed, corrected or withdrawn. We are not responsible for an independent third-party service, but a provider failure identified by our system is not counted as a successful check.

9. Intellectual property

LBM and its licensors retain all rights in Smart Buy, BrakerBase, software, models, designs, documentation and provider content. We grant you a limited, non-exclusive, non-transferable right to use Smart Buy for internal business purposes during the agreement. You retain rights in your submitted material and allow us to process it as needed to operate, secure and support Smart Buy and comply with law.

10. Availability

We aim for a reliable service but do not promise uninterrupted or error-free availability. Maintenance, security work and third-party outages may affect access. We will give reasonable notice where a change materially reduces the core paid service.

11. Confidentiality and data

Each party must protect the other’s confidential information and use it only for this agreement, except where law requires disclosure. We handle personal data under the Privacy Notice and the Data Processing Agreement where applicable.

12. Suspension and termination

Either party may end the agreement by cancelling all paid plans. We may suspend or terminate for material breach, unlawful use, security risk or non-payment, normally allowing a reasonable opportunity to fix a remediable breach. Payment, intellectual-property, confidentiality, disclaimer and liability terms survive.

13. Liability

Nothing excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or liability that cannot lawfully be excluded. Subject to that, we are not liable for indirect or consequential loss, or loss of profit, revenue, savings, opportunity, goodwill or business arising from a vehicle-purchasing decision or third-party data. Our total aggregate liability in any 12-month period is limited to Smart Buy fees you paid in that period, to the extent permitted by law.

14. General, law and contact

You may not transfer this agreement without consent. We may transfer it in a genuine reorganisation or service sale if your rights are not materially reduced. Delay is not waiver; an unenforceable provision does not affect the remainder; these documents are the entire Smart Buy agreement and create no third-party rights. English law governs and the courts of England and Wales have exclusive jurisdiction. Contact admin@brakerbase.co.uk.
